Flowermandi.in (hereinafter referred to as the "Platform", "Website", or "Flower Mandi") is owned and operated by GEMARA, having its registered office at 111, 10, Aggarwal City Square, Plot No. 10 District Centre Manglam Place, Rohini Sector 3, New Delhi – 110085.

Flower Mandi is an internet-based platform engaged in the sourcing, procurement, booking, supply, sale, and delivery of flowers, floral products, and related goods.

For the purposes of these Terms: "You", "your", "buyer", "customer", or "user" means any person or entity that accesses or uses the Platform. "We", "us", and "our" mean Flower Mandi and/or its Owner. "Supply source" means any mandi, grower, farm, wholesaler, trader, or other procurement channel.

These Terms of Use, together with our Privacy Policy, constitute a legally binding agreement between you and the Owner. By accessing or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms.

Flower Mandi enables users to browse products, place orders for flowers, floral products, and related goods. Orders are fulfilled by sourcing from mandis, growers, farms, wholesalers, or other supply sources based on availability.

Flower Mandi does not guarantee that: • every product displayed will always be available • product images, descriptions, shades, stem lengths, or specifications will exactly match each order

All products are subject to market availability and procurement conditions at the time of sourcing. We reserve the right to suspend, restrict, or terminate access for any user who misuses the Platform or violates these Terms.

Users may be required to register and provide details including name, business name, contact number, email, and delivery address. All information provided must be true, accurate, and kept up to date.

You may not create multiple accounts without prior approval. Your account is personal and may not be transferred or shared. You are responsible for maintaining the confidentiality of your login credentials.

Flower Mandi reserves the right to suspend or terminate accounts for: breach of these Terms, non-payment, fraudulent or abusive conduct, or attempts to interfere with the Platform.

You are granted a limited, non-exclusive, revocable right to use the Platform for legitimate purchasing purposes.

You shall not: • use bots, scraping tools, or automated systems to extract data, pricing, or inventory • create fake orders or fraudulent transactions • attempt unauthorized access to systems or data • copy or commercially exploit any part of the Platform without permission • upload content that is false, misleading, defamatory, or violates any law

All prices displayed on the Platform are indicative and dynamic, subject to change based on prevailing market conditions.

The final applicable price shall be determined and published by Flower Mandi after 5:00 AM on the scheduled day of delivery, based on mandi rates, demand, supply, and availability.

Any order placed prior to 5:00 AM shall be treated as a provisional order and remains subject to price revision. The User acknowledges that prices may increase or decrease at the time of final procurement.

An advance payment equivalent to 30% of the provisional order value is mandatory for placing and processing any order.

The advance payment constitutes confirmation of intent to procure and authorizes Flower Mandi to initiate sourcing. It does not constitute a price lock-in. The final price is determined only after publication of mandi rates.

Once procurement has been initiated, the advance amount is non-refundable under all circumstances, except where Flower Mandi is unable to fulfill the order.

Final prices are determined after 5:00 AM on the scheduled delivery day. All provisional orders shall be automatically deemed confirmed upon publication of final prices.

The User may cancel only within 30 minutes of final price publication, and no later than 5:30 AM IST on the delivery day, exclusively through the Platform. Failure to cancel within this window constitutes irrevocable acceptance.

Full payment must be completed prior to dispatch. Flower Mandi reserves the right to withhold dispatch, cancel, or modify quantities in the event of non-payment.

Deliveries are scheduled for the designated delivery day and completed by 3:00 PM, subject to operational feasibility.

Delivery timelines are indicative and not guaranteed. Flower Mandi shall not be liable for delays arising from mandi disruptions, traffic, weather, logistics constraints, or other factors beyond reasonable control. Such delays do not entitle the User to cancellation, refund, or compensation.

Cancellations are permitted only within 30 minutes of final price publication and no later than 5:30 AM IST on the delivery day, exclusively through the Platform.

Once procurement has been initiated — including purchase from any supply source, allocation of inventory, commencement of packing, or dispatch — no cancellation is permitted under any circumstances. The advance amount shall stand forfeited and no refund shall be made.

All products supplied by Flower Mandi are perishable agricultural goods. No returns shall be accepted under any circumstances whatsoever.

Any claim relating to quality, quantity, damage, or mismatch must be: • raised within 30 minutes of delivery; and • supported with clear photographic and/or video evidence captured at time of delivery.

Valid claims (at Flower Mandi's sole discretion): incorrect product delivered, significant quantity shortage, product materially different from confirmed order, product completely unusable at time of delivery.

Not eligible for claims: minor color/shade variation, stem length variation, natural mandi sourcing differences, natural wilting, improper handling after delivery, or price comparisons with other sources.

Approved refunds are processed within 5–7 working days to the original payment method. Where Flower Mandi cannot fulfill an order, a full refund including advance is issued.

Flower prices are highly volatile and dependent on real-time mandi conditions. Prices may fluctuate significantly due to demand, supply, and seasonality.

By placing an order, the User accepts such variability and agrees to be bound by the final applicable price.

To the fullest extent permitted by law, Flower Mandi shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages including loss of profits, revenue, data, or opportunity.

Flower Mandi does not warrant that the Platform will be uninterrupted, error-free, or that products will meet subjective expectations.

The maximum aggregate liability of Flower Mandi shall be limited to the total order value paid by the User for the specific transaction in dispute.

The User agrees to indemnify and hold harmless Flower Mandi, its Owner, affiliates, directors, officers, and employees from any claims, liabilities, damages, costs, and expenses arising from: • breach of these Terms • misuse of the Platform • false or inaccurate information provided • any act or omission resulting in loss to Flower Mandi or any third party

In the event of any dispute, the parties shall first attempt amicable resolution. Failing resolution within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

The arbitration shall be conducted by a sole arbitrator appointed by Flower Mandi. The seat and venue shall be Delhi, India, and proceedings shall be in English. The arbitral award shall be final and binding.

Modification of Terms: Flower Mandi reserves the right to modify these Terms at any time without prior notice. Continued use constitutes acceptance of the revised Terms.

Severability: If any provision is held invalid or unenforceable, the remaining provisions continue in full force.

Entire Agreement: These Terms, together with the Privacy Policy and other applicable policies, constitute the entire agreement between the User and Flower Mandi.

Notices: All notices to Flower Mandi shall be in writing via email. The User consents to receive all communications electronically.
