Flowermandi.in (hereinafter referred to as the "Platform", "Website", or "Flower Mandi", and including its website, sub-domains, mobile application(s), software, and any other digital medium through which services may be made available) is owned and operated by GEMARA, having its registered office at 111, 10, Aggarwal City Square, Plot No. 10 District Centre Manglam Place, Mangalam Place District Centre, Rohini Sector 3, New Delhi, North West Delhi, Delhi-110085.

Flower Mandi is an internet-based platform engaged in the sourcing, procurement, booking, supply, sale, and delivery of flowers, floral products, and related goods. The Platform enables customers to place orders which may be procured through mandis, growers, farms, wholesalers, traders, or other supply sources and thereafter delivered to the customer.

For the purposes of these Terms of Use: "You", "your", "buyer", "customer", or "user" means any natural person, sole proprietorship, partnership, company, LLP, organization, or any other legal entity that accesses or uses the Platform. "We", "us", and "our" mean Flower Mandi and/or its Owner. "Supply source" means any mandi, grower, farm, wholesaler, trader, florist, or other procurement channel from which Flower Mandi may source flowers or floral products.

These Terms of Use, together with our Privacy Policy and any other policies incorporated by reference, constitute a legally binding agreement between you and the Owner in relation to your use of the Platform.

Flower Mandi enables registered and unregistered users to browse products, select quantities, specify delivery locations, and place orders for flowers, floral products, and related goods.

Flower Mandi operates as a procurement and supply platform. It aggregates demand, manages sourcing, and facilitates end-to-end delivery to improve efficiency, consistency, and convenience for buyers. Orders are fulfilled by sourcing flowers from mandis, growers, farms, wholesalers, or other supply sources based on availability and operational feasibility.

Flower Mandi does not guarantee that: • every product displayed will always be available • product images, descriptions, shades, stem lengths, or specifications will exactly match each order

All products are subject to market availability and procurement conditions at the time of sourcing. Flower Mandi may engage third-party logistics providers for delivery and fulfillment. Upon delivery, the customer is required to inspect goods immediately.

We reserve the right to suspend, restrict, refuse, or terminate access to the Platform or its services for any user who misuses the Platform, violates these Terms, or acts in a manner detrimental to the business or its operations.

Any individual or entity wishing to purchase products through Flower Mandi may be required to register and provide details including name, business name, contact number, email address, billing and delivery address, and authorized contact persons.

You agree that all information provided shall be true, accurate, complete, and kept up to date. If registering on behalf of a business, you confirm you are authorized to bind that entity to these Terms.

You may not create multiple accounts without prior approval. Your account is personal and may not be transferred or shared. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

Flower Mandi reserves the right to suspend or terminate your account without prior notice in the following cases: • breach of these Terms or any applicable policy • non-payment or payment defaults • misuse of the Platform in an unlawful, unethical, or fraudulent manner • repeated complaints regarding false claims or abusive conduct • attempts to hack, scrape, or interfere with the Platform

Flower Mandi grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for legitimate personal or commercial purchasing purposes.

You shall not: • send spam, unsolicited promotions, or irrelevant communication • engage in abusive, threatening, or misleading behavior • use bots, scraping tools, or automated systems to extract data, pricing, or inventory • create fake orders or fraudulent transactions • attempt unauthorized access to systems or data • copy or commercially exploit any part of the Platform without permission • upload content that is false, misleading, defamatory, or violates any law

We reserve the right to suspend accounts, cancel orders, restrict access, or take appropriate action if any misuse or violation is detected.

All prices displayed on the Platform are indicative and dynamic in nature, and are subject to change based on prevailing market conditions.

The final applicable price for all products shall be the price determined and published by Flower Mandi after 5:00 AM on the scheduled day of delivery, based on factors including mandi rates, demand and supply conditions, availability, and procurement feasibility.

Any order placed prior to 5:00 AM shall be treated as a provisional order and shall remain subject to revision in pricing. The User expressly acknowledges and agrees that prices may increase or decrease at the time of final procurement.

An advance payment equivalent to 30% of the provisional order value shall be mandatory for placing and processing any order on the Platform.

The User expressly acknowledges and agrees that: • such advance payment constitutes confirmation of intent to procure and authorizes Flower Mandi to initiate sourcing and allocation of goods • such advance payment is made solely towards securing availability of products, and does not constitute a price lock-in • the final applicable price shall be determined only after publication of mandi rates

Once procurement has been initiated by Flower Mandi, the advance amount shall be non-refundable under all circumstances, except in cases where Flower Mandi is unable to fulfill the order.

Final prices for all products shall be determined and made available after 5:00 AM on the scheduled day of delivery.

All provisional orders placed prior to such time shall, upon publication of final prices, be automatically deemed confirmed without any further action required from the User.

The User shall be entitled to cancel the order only within 30 minutes from the time of publication of final prices, and in any event no later than 5:30 AM IST on the day of delivery, exclusively through the Platform. Failure to cancel within this period shall constitute irrevocable acceptance of the final price.

The User shall ensure that full payment is completed prior to dispatch of the order. Flower Mandi reserves the right, at its sole discretion, to withhold dispatch, cancel the order, or modify quantities in the event of non-payment or delay in payment.

All deliveries shall be scheduled for the designated day of delivery and shall be completed up to 3:00 PM, subject to operational feasibility and service conditions.

Flower Mandi shall use commercially reasonable efforts to adhere to the stated delivery timelines. However, delivery timelines are indicative in nature and not guaranteed.

Flower Mandi shall not be liable for any delay, failure, or deviation in delivery arising from circumstances beyond its reasonable control, including: • mandi-related delays or supply disruptions • traffic congestion or route conditions • weather conditions • logistical or transportation constraints • unforeseen operational issues

Any such delay shall not entitle the User to cancellation, refund, compensation, or any claim against Flower Mandi.

In view of the perishable nature of the products and the procurement-based operational model, cancellation of orders shall be governed as follows:

Before Procurement: The User shall be entitled to cancel the order only within 30 minutes from the time of publication of final prices, and in any event no later than 5:30 AM IST on the day of delivery, exclusively through the Platform.

After Procurement: Upon initiation of procurement — including purchase of goods from any mandi or supply source, allocation or blocking of inventory, commencement of packing or processing, or dispatch of goods — no cancellation shall be permitted under any circumstances. In such event, the advance amount shall stand forfeited, and no refund or adjustment shall be made.

All products supplied by Flower Mandi constitute perishable agricultural goods.

In view of the nature of such products, no returns shall be accepted under any circumstances whatsoever.

Any claim relating to quality, quantity, damage, or mismatch of products shall be: • raised within 30 minutes from the time of delivery; and • supported with clear photographic and/or video evidence captured at the time of delivery.

Failure to comply with these requirements shall result in automatic rejection of such claim.

Valid Claims (subject to verification at Flower Mandi's sole discretion): • incorrect product delivered • significant shortage in quantity • product materially different from confirmed order • product rendered completely unusable at the time of delivery

Non-Eligible Claims — the following shall not be valid grounds for any claim: • minor variation in color, shade, bloom, or appearance • variation in stem length or size • natural differences arising from mandi sourcing • natural wilting due to time, weather, or environmental exposure • dissatisfaction based on subjective expectations • improper handling or storage after delivery • price or quality comparisons with mandi or third-party sources

Refunds, if applicable, shall be processed within 5–7 working days and credited to the original mode of payment. In the event Flower Mandi is unable to fulfill an order due to non-availability or operational constraints, the User shall be entitled to a full refund including any advance paid.

The User expressly acknowledges and agrees that: • flower prices are highly volatile and dependent on real-time mandi conditions • prices may fluctuate significantly due to demand, supply, and seasonality • while price variations are typically within a reasonable range, they may exceed expected levels under certain market conditions

By placing an order on the Platform, the User accepts such variability and agrees to be bound by the final applicable price.

To the fullest extent permitted under applicable law, Flower Mandi and its Owner shall not be liable to any User for any loss or damage of any kind arising out of or in connection with the use of the Platform or any services or products provided through it.

Such limitation shall include any direct, indirect, incidental, consequential, special, or punitive damages including loss of profits, loss of business or revenue, loss of data, loss of opportunity, event-related losses, or any other commercial or financial loss.

Flower Mandi does not warrant that: • the Platform will be uninterrupted, timely, secure, or error-free • the information or materials on the Platform are accurate, complete, or reliable • the products supplied will meet the User's subjective expectations

The maximum aggregate liability of Flower Mandi, if any, shall in all cases be limited to the total order value paid by the User for the specific transaction in dispute.

The User agrees to indemnify, defend, and hold harmless Flower Mandi, its Owner, affiliates, directors, officers, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: • any breach or violation of these Terms of Use • any misuse of the Platform • any false, misleading, or inaccurate information provided by the User • any act or omission by the User resulting in loss or damage to Flower Mandi or any third party • any dispute arising from orders placed or transactions conducted through the Platform

In the event of any dispute arising out of or in connection with these Terms: • the parties shall first attempt to resolve the dispute amicably • failing such resolution within 30 days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996

The arbitration shall be conducted by a sole arbitrator appointed by Flower Mandi. The seat and venue of arbitration shall be Delhi, India, and proceedings shall be conducted in English. The arbitral award shall be final and binding on the parties.

Third-Party Services: The Platform may involve services provided by third parties including payment gateways, logistics providers, or communication services. Flower Mandi shall not be responsible for any issues or liabilities arising from the use of such third-party services.

Modification of Terms: Flower Mandi reserves the right to modify, amend, or update these Terms of Use at any time without prior notice. Continued use of the Platform following such modification shall constitute acceptance of the revised Terms.

Severability: If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms, along with the Privacy Policy and other applicable policies, constitute the entire agreement between the User and Flower Mandi and supersede all prior communications or understandings.

Notices: All notices to Flower Mandi shall be made in writing via email or such other mode as may be prescribed. The User consents to receive all communications electronically.
